ARTICLE 1 – SUBJECT:
This agreement governs the rights and obligations of the parties under the Law No. 6502 on the Protection of Consumers and the Regulation on Distance Contracts regarding the qualifications, sales price, performance method, and delivery process of a product or service purchased by an individual or institution ("Buyer") from CogIST (“Seller”).
All prices published on the CogIST website (www.cog-ist.com) (“Platform”) include VAT. Announced prices and commitments remain valid until updated. Promotional prices valid for a specific period are only applicable during the specified time frame.

4.1. All content, tools, and access rights included in the training packages purchased by the Buyer will be made available in accordance with the package description and will be valid for the duration specified therein.
4.2. For non-training packages, performance will be in line with the services and benefits included in the content, limited to what is specified in the package description.
ARTICLE 5 – GENERAL PROVISIONS (Matters Previously Informed to Buyer):
5.1. This contract comes into force once approved electronically by the Buyer on the Seller’s website and upon its receipt by the Seller.
5.2. The Buyer declares that all personal and contact information provided during membership and ordering is accurate and complete, and undertakes to compensate the Seller for any damages resulting from false information.
5.3. Fulfillment of the product/service is contingent upon full payment. If payment fails or is canceled, the Seller has no obligation to fulfill delivery or performance.
5.4. Delivery timelines:
5.4.a. Printed products will be delivered within a reasonable time not exceeding the legal maximum of 30 days, depending on Buyer’s location and logistics.
5.4.b. Video lessons and other digital content will be made accessible to the Buyer within 15 days after payment confirmation.
5.4.c. "Estimated delivery date" labels on the website are for informational purposes only and not binding.
5.5. The Seller is not liable for damages caused by the Buyer’s failure to receive the product.
5.6. The Seller bears no responsibility for delays, loss, or damage during shipping after the product is handed to the courier.
5.7. If the order is canceled after dispatch but before delivery, the shipping fee will be borne by the Buyer.
5.8. If the Buyer accepts delivery despite visible damage to packaging or the product, they assume full liability.
5.9. If the product price is not paid by the bank due to unauthorized use of Buyer’s credit card, the Buyer must return the product within 3 days, covering return shipping.
5.10. If delivery is hindered due to force majeure, pandemics, technical failures, or adverse weather, the Seller will inform the Buyer, who may:
- Cancel the order,
- Request a replacement,
- Postpone delivery until the obstacle is resolved.
In case of cancellation, bank transfers will be refunded within 10 days, and card payments will be processed within 7 days. Seller is not liable for delays caused by banking procedures.
5.11. Buyer declares having read and accepted all pre-contractual information regarding the product/service.
5.12. Buyer agrees to comply with all applicable laws when using the Seller’s website.
5.13. The Buyer may not use the website to:
- Disrupt public order,
- Violate public morality,
- Harass others,
- Engage in unlawful activities,
- Harm third parties' rights.
The Buyer is prohibited from disrupting others’ access (e.g., via spam, viruses, or malicious software).
5.14. The Buyer is personally responsible for any legal or criminal consequences of violations of this contract. The Seller reserves the right to seek legal remedies and compensation.
5.15. The Buyer agrees not to distribute, reproduce, publish, or share any digital training materials or video lessons without authorization. Violations may lead to legal action.
ARTICLE 6 – RIGHT OF WITHDRAWAL
6.1. Buyer may withdraw from the purchase of printed products within 14 days after delivery, provided the product is unused. Notification must be made via email, phone, or legal notice.
6.2. In exercising the right of withdrawal, the Buyer must send proof of shipment to the Seller. Refunds will be processed within 14 days using the original payment method. Return shipping is the Buyer’s responsibility.
6.3. Pursuant to Article 15 of the Regulation on Distance Contracts (Official Gazette dated Nov 27, 2014), the right of withdrawal does not apply to:
• Services rendered instantly in digital format,
• Intangible digital goods delivered immediately.
The Buyer agrees in advance that there is no right of withdrawal for video courses, digital content, or online seminars.
6.4. If access codes for video content or online materials are visible or packaging is opened, the item is deemed “used” and cannot be returned.
ARTICLE 7 – COMPETENT AUTHORITIES AND COURTS
7.1. By placing an order via the CogIST platform, the Buyer is deemed to have read, understood, and accepted the terms of this Distance Sales Contract.
7.2. In case of disputes arising from this contract, the provisions of Law No. 6502 and relevant regulations shall apply. Consumer Arbitration Boards or Consumer Courts in the jurisdiction of either party may be used. Unless otherwise stated, the courts and enforcement offices in Istanbul shall have jurisdiction.
